1. Acceptance of These Terms
These Terms of Service (these "Terms") are a binding agreement between you and Fiber Construction Company LLC, a Texas limited liability company with its principal office at 5900 Balcones Drive STE 100, Austin, TX 78731 ("FCC," "we," "us," or "our"). They govern your access to and use of:
- our public website at fiberconstructioncompany.com, including its guides, glossary, market pages, and other content (the "Site");
- the business intake forms we operate on the Site, including our contact and RFP form, subcontractor bid-list application, vendor and supplier application, and careers application (the "Forms"); and
- the secure, tokenized links we issue to business counterparties for submitting invoices, production quantities, and compliance documents such as IRS Form W-9, contractor licenses, and certificates of insurance (the "Secure Links").
By using the Site, submitting a Form, or using a Secure Link, you accept these Terms and our Privacy Policy, which explains how we handle the information you provide. If you do not agree, do not use the Site, the Forms, or the Secure Links.
2. Eligibility and Business Use
The Site and the Forms are business tools directed to adults acting in a professional capacity: contractors, suppliers, carriers, ISPs, developers, job applicants, and their representatives. By submitting a Form or using a Secure Link on behalf of a company, you represent that you are at least 18 years old, that you have authority to act for that company, and that the information you provide is accurate, current, and complete. You are responsible for keeping the information you have given us up to date, including insurance, licensing, and contact details.
3. Permitted Use of the Site
We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Site for legitimate business purposes: learning about our services, evaluating a potential business relationship, submitting a Form, and using a Secure Link we issued to you or your company. We may modify, suspend, or discontinue any part of the Site at any time without notice. All rights not expressly granted are reserved.
4. Prohibited Conduct
You agree not to:
- use the Site, the Forms, or the Secure Links for any unlawful purpose, or in violation of any applicable law or regulation;
- submit information that is false, misleading, or that you do not have the right to provide, including another person's identity, credentials, or tax documents without authorization;
- use a Secure Link that was not issued to you or your company, share a Secure Link with anyone not authorized to act for the recipient, or attempt to guess, enumerate, or tamper with link tokens;
- scrape, harvest, or bulk-download Site content or submitted data; probe, scan, or test the vulnerability of our systems; bypass security or access controls; or interfere with the operation of the Site;
- submit spam, automated submissions, malware, or any content designed to disrupt our systems or deceive our review processes;
- impersonate FCC, our personnel, or any other person or company, or misrepresent your affiliation; or
- frame, mirror, or republish the Site or its content except as these Terms allow.
We may investigate suspected violations, preserve related records, and cooperate with law enforcement where appropriate.
5. Forms, Applications, and Submissions
Submitting a Form starts a review; it does not create a contract or any commitment on our part. Specifically:
- Subcontractor and vendor applications. Acceptance onto our bid list or vendor list is at our sole discretion. Placement on a list does not guarantee any award, volume of work, purchase, or exclusivity, and does not make you our agent, partner, joint venturer, or employee. Work and purchases happen only under separately signed agreements as described in Section 7.
- Careers applications. Submitting an application does not create an offer of employment or an employment relationship. We are an equal opportunity company and participate in E-Verify.
- Contact and RFP inquiries. Responses, estimates, and budgetary figures we provide in response to an inquiry are for discussion only and are not binding offers unless and until reflected in a signed agreement.
For anything you submit through a Form or Secure Link, you grant us a non-exclusive, royalty-free license to store, reproduce, and use that material internally, and to share it as described in our Privacy Policy, for the purposes of evaluating, establishing, and administering a business or employment relationship. You keep ownership of your submissions. We have no obligation to review, respond to, return, or retain any submission, and we may remove or reject submissions at our discretion, including suspected spam or duplicates.
6. Secure Document and Billing Links
Secure Links are issued to a specific company or individual and are confidential. If we issue your company a Secure Link, you are responsible for limiting its use to people authorized to act for that company, and for the accuracy of everything submitted through it, including invoices, claimed production quantities, tax forms, licenses, and certificates of insurance. Submitting an invoice or quantity through a Secure Link is a representation that the amounts and quantities are true and correct. If you believe a Secure Link has been shared beyond your organization or otherwise compromised, notify us promptly at bids@fiberconstructioncompany.com and we will rotate it.
7. Relationship to Signed Agreements
These Terms govern the Site, the Forms, and the Secure Links only. Actual construction work, purchases, and professional engagements are governed exclusively by separately signed written agreements, such as master service agreements, subcontract agreements, purchase orders, change orders, and prime contract flow-downs (collectively, "Signed Agreements"). If there is any conflict between these Terms and a Signed Agreement, the Signed Agreement controls for its subject matter. Nothing on the Site, and nothing in our review or acceptance of a Form, amends, supplements, or waives any provision of a Signed Agreement.
8. Intellectual Property
The Site and its content, including text, guides, glossary entries, graphics, photographs, logos, page designs, and underlying code, are owned by FCC or our licensors and are protected by copyright, trademark, and other intellectual property laws. "Fiber Construction Company," our logo, and related marks are our trademarks; you may not use them without our prior written consent. You may view, download, and print Site content for your own internal business evaluation, provided you keep all copyright and proprietary notices intact. Any other reproduction, distribution, or commercial use requires our written permission.
9. Informational Content; No Professional Advice
Our guides, glossary, insights, market pages, FAQ, and similar content are provided for general information about outside plant construction and the broadband industry. They are not engineering, legal, tax, permitting, safety, or other professional advice, and they do not account for the conditions of any specific project, jurisdiction, or site. Standards, codes, and regulations change and vary by location. Do not act on Site content without consulting qualified professionals and the authorities having jurisdiction over your project. Content on the Site may become outdated, and we are under no obligation to update it.
10. Third-Party Sites and Services
The Site links to third-party websites and services, including social media platforms and the IRS website for tax forms, and we use third-party services to operate the Site as described in our Privacy Policy. We do not control third-party sites and are not responsible for their content, availability, or practices. Linking to a third-party site is not an endorsement. Your use of those sites is at your own risk and subject to their terms.
11. Disclaimer of Warranties
THE SITE, THE FORMS, THE SECURE LINKS, AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION, ALL OF WHICH ARE DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY LAW. THIS SECTION APPLIES TO THE SITE AND ITS CONTENT ONLY; WARRANTIES, IF ANY, APPLICABLE TO CONSTRUCTION WORK ARE STATED EXCLUSIVELY IN THE APPLICABLE SIGNED AGREEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FCC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST BUSINESS, OR LOST DATA, ARISING OUT OF OR RELATING TO THE SITE, THE FORMS, THE SECURE LINKS, OR SITE CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE, THE FORMS, THE SECURE LINKS, OR SITE CONTENT WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). THIS SECTION DOES NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, AND IT DOES NOT APPLY TO RIGHTS, OBLIGATIONS, OR LIABILITIES ARISING UNDER A SIGNED AGREEMENT, WHICH ARE GOVERNED BY THAT AGREEMENT.
13. Indemnification
You agree to defend, indemnify, and hold harmless FCC and its members, managers, officers, employees, affiliates, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your misuse of the Site, the Forms, or a Secure Link, or the inaccuracy of information or documents you submit. This Section does not apply to matters governed by a Signed Agreement, which are handled under that agreement's indemnity provisions.
14. Suspension, Termination, and Changes
We may suspend or terminate your access to the Site, the Forms, or any Secure Link at any time, with or without notice, including for suspected violations of these Terms, suspected fraud or abuse, or as part of ending a business relationship. Sections 5 through 13 and Section 15 survive any termination. We may update these Terms from time to time; when we do, we will post the revised Terms on this page and update the effective date above. Material changes may also be communicated by email or a notice on the Site. Your continued use of the Site, the Forms, or a Secure Link after an update constitutes acceptance of the revised Terms.
15. Governing Law and Disputes
These Terms and any dispute arising out of or relating to the Site, the Forms, the Secure Links, or Site content are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The exclusive venue for any such dispute is the state or federal courts located in Travis County, Texas, and you consent to personal jurisdiction there. Each party waives any right to a jury trial to the extent permitted by law. Any claim must be brought within one year after it accrues, unless a longer period is required by law. If any provision of these Terms is held unenforceable, the remaining provisions stay in effect, and the unenforceable provision will be enforced to the maximum extent permitted. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy, are the entire agreement between you and FCC regarding the Site and supersede prior understandings on that subject; they do not supersede any Signed Agreement.
